Terms and Conditions of Use of "my route"

The terms of use of the "my route" service/application (hereinafter referred to as the "TOU") stipulate the terms of use of the application "my route" operated and provided by Toyota Financial Services Corporation (hereinafter referred to as "the Company") and matters related to the handling of personal information by the Company. For the address and the name of the representative of the Company, please refer to the Company profile (https://www.tfsc.jp/corporate/index.html).For the handling of personal information by the Company, refer to the provisions of Articles 8 to 14 hereof. The term "personal information" as used herein refers to the personal information as defined in Article 2, Paragraph 1 of the Act on the Protection of Personal Information (Act no. 57 of 2003).

Article 1 (Application of the TOU)

1. The TOU apply to all relationships between the Company and a user of my route (the "User") in connection with provision and use of my route. Articles 8 through 10 and 12 through 14 hereof shall apply to the relationship between the Company and customers who contact us via the inquiry page on the web (https://www.myroute.fun/app-resource/support/inquire-web.html) of my route but do not use the service (hereinafter referred to as "Inquirers").

2. A TOYOTA/LEXUS common ID issued by Toyota Motor Corporation is required to use my route. Any items pertaining to the use of the common ID that are not prescribed in the TOU shall comply with those items prescribed in the rules for using a Toyota Motor Corporation TOYOTA/LEXUS common ID.

3. The Company may provide for in the terms of use of Individual Services the terms and conditions and precautions for use of my route and any service or contents provided in conjunction with my route. Users shall comply with the terms and conditions for use of Individual Services as well as the TOU (collectively the "TOU, etc."). If any provision of the TOU conflicts with the terms of use of Individual Service, the terms of use of Individual Service shall prevail.

4. Users who use the Ticket Sales Service on my route shall be subject to the Terms and Conditions of Use of my route Ticket Sales Service, which is an Individual Service, in addition to the TOU.

5. In the case that a User is a minor, such User shall use my route with the consent (including consent to the TOU, etc.) from his/her statutory agent such as a person with parental authority. In the case that a User who was a minor at the time of consent to the TOU, etc. uses my route after he/she reaches his/her majority, he/she shall be deemed to have ratified his/her use while he/she was a minor.

Article 2 (Definitions)

(1) my route: An application and its services for smartphones provided by the Company that offers users transportation options that combine various types of mobility and information that exist in the city.

(2) my route Terminal Device: Collectively refers to the models of smartphones controlled and used by Users, which are designated by the Company as those with which a User can use my route.

(3) Individual Services: Individual contents and services provided by the Company in conjunction with my route.

(4) External Services: Individual contents and services provided by a third party other than the Company in conjunction with my route.(This includes transportation means, such as trains, buses, etc., the sale of insurance and goods, and the provision of services, such as eating and drinking, and use of facilities.)

(5) External Service Providers: Providers of External Services.(This includes business operators providing transportation means, such as trains, buses, etc., and those selling insurance and goods.)

(6) Business Partner: Business operator that works with us to operate and provide Individual and External Services.

(7) External Service Ticket - Ticket to use an External Service (including number(s) or other symbol(s) required to use the electronic ticket or the external service).

(8) Ticket Sales Service: An Individual Service provided by the Company on my route that sells External Service Tickets.

(9) Ticket Issuer: An External Service Provider that issues External Service Tickets sold through the Ticket Sales Service.

(10) Ticket Issuer, etc.: A Ticket Issuer and an External Service Provider that provides the external service jointly with the Ticket Issuer.

(11) Group Companies: Toyota Motor Corporation (the Company's parent corporation), its subsidiaries (excluding the Company), and other affiliates.

Article 3 (Conclusion of the TOU and Amendment)

1. The User shall agree to the provisions of the TOU, etc. and apply for the use of my route to the Company via the my route application screen.

2. The application for use of my route by the User is deemed to be accepted by the Company at the time when my route is made available to the User after the User has made such application under the preceding paragraph. At that time, the contractual relationship under the TOU, etc. between the User and the Company shall be formed.

3. In the event that the Company changes the TOU, etc., the Company shall notify the Users of the content of the changed TOU, etc. and the effective date thereof by displaying them at an appropriate location in my route or on the Company's website or by other appropriate methods. The TOU, etc. shall be deemed to have been changed on the effective date. However, if User's consent is statutorily required to change the TOU, etc., the Company shall obtain their consent for the change by our predetermined method.

4. The Company grants the User a license to use my route only with their my route Terminal Device pursuant to the TOU, etc.

Article 4 (Rejection or Suspension of Use)

1. If the User fails to provide some or all of the information necessary for the application for the use of my route of their own choice or does not agree to the TOU, etc., the Company shall make my route unavailable to the User.

2. If any of the following is applicable to the User, the Company may suspend provision of my route to the User, even after the User started using the same.

(1) The User breaches the TOU, etc.;

(2) It is found that the User's use of my route or any Individual Service has previously been suspended due to a breach, etc. of the TOU, etc.;

(3) It is found that there is a false statement, misstatement, or omission in the application for use of my route or any Individual Service submitted by the User;

(4) It is found that the User has breached the terms and conditions of services other than the Individual Services provided by the Company;

(5) The User uses my route fraudulently;

(6) The User interferes with the operation of the my route service;

(7) The User is part of or has close associations with anti-social forces. In the TOU, anti-social forces refer to the following:

① Criminal organizations;

② Members of criminal organizations or former members who left their criminal organization less than five years ago;

③ Associate members of criminal organizations;

④ Companies affiliated with criminal organizations;

⑤ Racketeering groups, criminal groups posing as social campaigns, etc., or organized crime syndicates; or

⑥ Other persons that are equivalent to ① through ⑤ above.

(8) The User, of their own action or through the use of a third-party, makes violent demands, makes demands that exceed legal responsibility, or engages in acts that use threatening language or violence; spreads rumors or uses fraud or influence to damage the credibility of the Company; or engages in acts that interfere with the business activities of the Company; or undertakes acts equivalent to these; or

(9) The User requests us to suspend the use of, erase or suspend provision to a third party of his/her Personal Information handled by the Company that is necessary for the operation or provision of my route or Individual or External Services.

(10) Other events occur that cause the Company to deem that the User is inappropriate as a user.

3. In the following cases, all or part of my route or an Individual or External Service may not be available to a User.

(1) The information reported by a User contains errors.

(2) A my route Terminal Device or other peripheral equipment, etc. is not installed or connected properly, does not operate properly due to failure, damage, malfunction, etc. (including unauthorized modifications to the my route Terminal Device), is non-conforming due to a combination of these, or is configured so as to impede the use of my route, Individual or External Services.

(3) Failure to comply with the instructions given in the operation manual, etc. of the my route Terminal Device or other peripheral equipment.

(4) A my route Terminal Device or other peripheral equipment, etc. is not powered properly due to, for example, running out of battery.

(5) A my route Terminal Device or other peripheral equipment, etc. is not energized.

Article 5 (Terms of Use, etc.)

1. my route is a service used by the User via communication lines with their my route Terminal Device by downloading and installing the my route application in their my route Terminal Device and following certain procedures specified by the Company.

2. The Company grants the User who uses a my route Terminal Device the right to use my route in accordance with the TOU. The User can use it on the condition that he/she complies with the TOU, etc.

3. my route is available only to the User who has applied for use thereof. If a third party other than the User uses my route, the Company has no liability to such User or such third party.

4. The Company or a third party may provide Individual Services and External Services in conjunction with my route.

5. When the User uses any Individual Service or External Service, the agreement relating to use of such Individual Service or External Service shall be concluded directly between the Company or the External Service Provider apart from the TOU. The agreement for the use of such Individual Service shall be subject to the Terms of Use of Individual Service. As the agreement for the use of such External Service is directly concluded between the User and the External Service Provider, the Company has no liability whatsoever, including operation guarantee and quality assurance for the External Service, and has no responsibility for damage, etc. incurred by the User in connection with such External Service or the use thereof.

6. If any dispute arises between a User and the External Service Provider, it shall be resolved between them, and the User shall not file any claim against or complaint to the Company.

7. The linkage function between my route and an External Service may be limited or made unavailable by an External Service Provider without any notice to the User at the Provider's own discretion. The Company shall have no liability for any damage due to such limitation or unavailability.

Article 6 (Matters to Note)

In using my route, the User shall agree to and comply with the following items for their own safety:

1. General provisions

(1) Due to the reception condition of the my route Terminal Device, other functional limitations of the my route Terminal Device, or settings of the my route Terminal Device determined by the User, services and Individual Services provided by my route, as well as External Services, may be unavailable;

(2) Maps, routes, traffic restrictions, traffic conditions, operating status, time tables, facilities, stores, events, weather, and other such information provided through my route (collectively, the "Service Information"), may differ from actual information and may be inaccurate. Furthermore, the Service Information may be changed without notice to the User; and

(3) Service Information may not be available in some parts of countries and regions where my route is offered.

2. Automobiles, bicycles, walking, etc.

(1) It is very dangerous to operate a terminal on which my route is installed or look at the screen while driving a car, riding a motorized bicycle, bicycle or other vehicle or walking. Doing so may violate the Road Traffic Act and other laws and regulations. Be sure to stop in a safe place before using my route.

(2) The User shall recognize that the Service Information and other information provided through my route is for reference only; the User should always make decisions based on the actual conditions of sidewalks and roads, traffic signs, traffic indications, and other traffic regulations and rules;

(3) Among the Service Information and other information provided through my route, information associated with traffic restrictions shall, in general, only pertain to standard automobiles and shall not pertain to large vehicles or motorcycles, etc.;

(4) Due to traffic restrictions resulting from temporary street closures for pedestrian use, winter season closures, and different time periods, streets that cannot actually be travelled may be displayed as open and provided in guidance;

(5) Streets that cannot actually be crossed by pedestrians may be displayed as streets that can be crossed and provided in guidance; and

(6) Do not use my route as a navigation tool for fire stations, police stations, or medical emergency facilities, etc.

3. Railways, airplanes, city buses, etc.

(1) Updates to time tables may be delayed following revisions to actual time tables. When using express trains and airplanes, etc., double check the actual departure and arrival schedule; and

(2) Some street cars and airport shuttle bus segment schedules are displayed as estimated time tables and reference times, and may be provided in guidance.

4. Others

Information associated with facilities and shops may include names, addresses, and phone numbers, etc., that have changed, and facilities and shops may not actually exist in some cases. Information associated with events may include event dates, times, and locations that have changed.

Article 7 (Service Fee)

1. The User can use my route for free. However, there are some Individual Services and External Services used in conjunction with my route provided for a fee.

2. The online payment service in my route is a service by which the User can make payments for the service fees and cancellation fees, etc. of Individual Services and External Services by the payment method registered by the User in advance (including payment by credit card, electronic money, etc.).

3. If the User uses the online payment service provided in my route, when using the payment method adopted by the User for the online payment service, the User shall do so in compliance with the rules established by the providers of such payment method (including credit card companies, settlement service providers, etc.; hereinafter, collectively the "Payment Method Providers") and the contents of terms related to such payment method (hereinafter, "Payment Terms").

4. If the User who uses an online settlement service is responsible for the payment of service fees, etc. of Individual Services and External Services, the User shall pay such service fees, etc. by the payment method registered by the User in advance as specified by the Company and External Service Providers. The processing of sales, the timing of billing of the service fees, billing statements, cutoff dates, etc. related to the use of a credit settlement service shall be subject to arrangements and the Payment Terms between the Payment Method Providers and the Company or the External Service Providers.

5. If the User cancels any Individual Service or External Service, the User shall settle the cancellation fees, etc. by the payment method registered by the User in advance.

6. Users who can use the online payment service shall be limited to the Users (i.e. the orderer) who have or can use a payment method (credit card, etc.).

7. If the User cannot pay service fees, etc. by the payment method registered by the User such as payment by a credit card, etc., the User shall pay such service fees, etc. by a method specified by the relevant Payment Method Provider or External Service Provider.

Article 8 (Acquisition of Personal Information)

In providing my route, the Company acquires the User's personal information (In providing my route, the Company will acquire Personal Information, including the following information, from Users (including Inquirers, the same applies to Articles 8 through 10 and 12 through 14). The credit card information registered by the User for my route will be directly acquired by settlement agents.

(1) User's email address

(2) Name and telephone number of the User (when registered by the User for two-step authentication)

(3) My spot information registered by the User (home, workplace, school, or other address)

(4) Type of transportation means (railway, bus, etc.) for which a ticket was purchased by the User, date and time of purchase or use

(5) Type and date of use of a QR coupon attached to the ticket used by the User

(6) Information on the use of bicycle sharing and other External Services by the User (date and place of use)

(7) Information about route searches performed by the User (including departure, destination, route, search date, and search conditions)

(8) Information on the location of the User when using my route

(9) Information provided by the User to the Company when inquiring about my route (including the User's name and email address)

Article 9 (Treatment of Personal Information)

The Company shall properly handle the Personal Information of the User in accordance with the TOU, etc., and Japanese laws and regulations relating to the protection of personal information. Furthermore, make any inquiries regarding the Company's handling of Personal Information to the following address:

Article 10 (Purpose of Use of Personal Information)

The Personal Information of the User acquired in conjunction with my route shall be used for the following purposes:

(1) To provide my route services;

(2) To manage and verify the User of my route;

(3) To give notice of amendment, etc. to the terms, etc. of my route;

(4) To respond to inquiries, etc., on my route;

(5) To send questionnaires on the use of my route;

(6) To prepare, provide or sell statistical information on the status of use of my route or User attribute information, etc.;

(7) To analyze the status of use of my route and User attribute information, etc., and provide advertisement of or other optimized content information, etc., on products and services handled by the Company, our group companies or third parties.

(8) To prevent fraudulent use of my route;

(9) For use in planning development for my route, enhancing or upgrading my route or improving the quality of my route;

(10) To respond to inquiries on products and services provided by the Company and Group Companies;

(11) To send information on products and services provided by the Company and Group Companies or various events and campaigns, etc.;

(12) To plan, develop, improve, enhance the quality of products or services provided by the Company and Group Companies;

(13) To conduct research by questionnaire in order to develop plans for products and services provided by the Company and Group Companies, improve the quality and satisfaction level of customers, etc.; and

(14) To provide Private Information to third-parties in Japan.

Article 11 (Verification, Change, and Deletion of Personal Information)

The User can verify, change, or delete their registered Personal Information through certain procedures specified for my route; provided, however, that if the User deletes any item requisite for registration of the TOYOTA/LEXUS common ID, such User cannot continue to use my route. During server or network maintenance or if a server or network failure, etc. occurs, such verification, change or deletion may be made unavailable temporarily.

Article 12 (Provision of Personal Information to Third Parties, etc.)

1. The Company may provide the Personal Information of the User to our group companies, External Service providers or Business Partners (hereinafter collectively referred to as the "Provided Parties") within the scope of the purpose of use set forth below. The User shall agree to this provision.

(1) To provide or operate goods or services handled by the Company and Provided Parties (For example, third-party provision is performed in the following cases.)

① When the User uses bicycle sharing or other External Service (This includes the purchase of an External Service Ticket from an External Service Provider.)

Examples of information items to be provided: User's email address and information on the use of the External Service (including location, route, and date of use)

Provided Party: External Service provider that provides the External Service

② When the User uses the Ticket Sales Service to purchase an External Service Ticket.

Examples of information items to be provided: Type (including adult/child) and the number of purchased tickets, date and time of purchase, date and time of use

Provided Party: External Service Provider or Business Partner that issues External Service Tickets purchased by Users

③ When a User uses the QR coupon attached to a ticket

Examples of information items to be provided: The contents of the QR coupon that was used, the date and time of use, and the store where the coupon was used

Provided Party: External Service provider that operates the store where the User uses the QR coupon

(2) To respond to inquiries on products and services provided by the Company or the Provided Party;

(3) To send information on products and services provided by the Company and the Provided Party or various events and campaigns, etc.;

(4) To develop plans for products and services provided by the Company or the Provided Party, enhance or upgrade such products and services or improve the quality thereof; and

(5) To conduct research by questionnaire in order to develop plans for products and services provided by the Company or the Provided Party, improve the quality and satisfaction level of customers, etc.

2. my route incorporates the following information collection modules. The following service providers may collect search options, IP addresses, the coordinates of longitudes and latitudes, website browsing history, purchase history, as well as behavior history or attribute information that cannot identify an individual by itself, and IDFA (for iOS devices) or AAID (for android devices) that identify terminals, through any of the information collection modules. As part of such information collection activities, the Company may send the above-mentioned information to any of the following service providers. Accordingly, the User shall agree that the following service providers obtain such information via any of the information collection modules or by receiving such information from the Company, and that the following service providers and their affiliates use and retain such information in order to provide and improve their own services in accordance with any of the following privacy policies, etc.

3. Except for the cases under the preceding two paragraphs, if the Company transfers the User's Personal Information to a third party, the Company shall obtain separate approval by the User via the User's application screen, in principle; provided, however, that upon request in accordance with laws or regulations or if permitted by Japanese laws and regulations related to the protection of personal information, including cases where it is necessary for protecting the life, body, property, etc. of the User, the Company, or a third party and if approval is difficult to obtain, the Company may provide the User's Personal Information to a third party without the approval of the User.

Article 13 (Security Management Measures for Personal Information)

The Company takes necessary and appropriate measures to prevent any leakage or loss of or damage to Users' Personal Information and for the safe management thereof. For details on the safety management measures taken by the Company, please contact the point of contact set forth in Article 9 hereof.

Article 14 (Entrustment of Handling of Personal Information)

The Company may outsource all or part of the handling of User's Personal Information to a third party to the extent necessary to achieve the Purpose of Use described in Article 10. In this case, the Company entrusts Personal Information to an entrusted party after taking measures to protect it and supervises the entrusted party appropriately as needed.

Article 15 (Responsibility to Manage IDs and PWs)

1. The User shall manage their IDs, passwords, and other code numbers required to use my route, Individual Services, and External Services (hereinafter, collectively "IDs, etc.") at their own risk and be solely liable for any and all acts performed using such IDs, etc. and the results thereof, whether such acts are performed directly by the User or not.

2. The User may not lease their IDs, etc. to a third party or allow such third party to use the same. If the User or other persons incur damage due to a third party's use of the User's IDs, etc., the Company shall have no liability therefor for any reason whatsoever.

3. The User may not use my route with other users' IDs, etc. If the User uses my route with another user's ID, etc., the User shall immediately compensate for all damages incurred by the Company arising therefrom and settle all disputes arising therefrom at their own risk and cost.

Article 16 (Intellectual Property Rights)

1. Intellectual property rights such as copyrights, trademark rights, or design rights in or to information provided through my route, Individual Services and External Services, including texts, images, photos, voice, and videos (hereinafter, "Works, etc.") shall be the property of the Company or the relevant External Service Provider. The User may use the Works, etc. acquired through my route only to the extent that is expressly permitted within my route or to the extent of personal use permitted by the Copyright Act.

2. Any suggestions, opinions, or other comments sent to my route and the Company from the User may be freely utilized by the Company and Group Companies free of charge.

Article 17 (Prohibited Acts)

1.In using my route, the User shall not commit any of the following acts:

(1) Acts that infringe on or may infringe on the Company's or a third party's intellectual property rights such as copyrights, trademark rights, or other rights;

(2) Acts that infringe on or may infringe on a third party's privacy;

(3) Acts that allow a third party to use my route;

(4) Acts that cause or may cause unauthorized access to my route or unauthorized attacks against my route;

(5) Acts that render or may render the provision of my route impossible or that otherwise interfere with or may interfere with the provision or operation of my route;

(6) Acts that interfere with or may interfere with the Company's or Group Companies' business activities;

(7) Acts that cause or may cause detriment or damage to the Company or a third party;

(8) Criminal acts or acts that lead to or may lead to criminal acts;

(9) Acts to use any information obtained by using my route for business or acts to make such information available for use to a third party in any manner;

(10) Acts to use my route on a terminal device other than a my route Terminal Device (including a fraudulently altered my route Terminal Device);

(11) Reverse engineering acts such as decompiling or disassembling of the my route application;

(12) Acts to use my route in combination with other applications or services (excluding Individual Services and External Services);

(13) Acts to delete or alter the Works, etc.;

(14) Acts to violate the TOU;

(15) Makes violent demands, makes unlawful demands that exceed legal responsibility, engages in acts that use threatening language or violence; spreads rumors or uses fraud or influence to damage the credibility of the Company; or engages in acts that interfere with the business activities of the Company;

(16) Acts to provide any benefit directly or indirectly to anti-social forces in connection with the services of my route;

(17) Acts that violate or may violate laws and regulations or public policy; or

(18) Other acts that the Company deems inappropriate.

2. The User may not assign, hand over, or offer as security all or part of its contractual status for my route or any Individual Service to a third party.

Article 18 (Revision and Abolition of Individual Service, Termination of Linkage with External Services)

1. The Company may revise or abolish any Individual Service (including termination of agreements for the ongoing Individual Services) without notice to the User.

2. The Company may terminate the linkage between my route and any External Service without notice to the User.

Article 19 (Provision of my route and Termination of the TOU)

1. The Company may terminate the provision of my route without notice to the User. If the provision of my route is terminated, the TOU will be simultaneously terminated.

2. Notwithstanding the provisions of the preceding paragraph, Article 7 hereof shall remain in force until the completion of payment of the usage or cancellation fee, etc. for my route and Individual Services, and Article 5 (3), (5) through (7), Article 8 through 16, and Articles 17 (2), 19, 20, 22, and 23 through 25 shall survive termination hereof.

Article 20 (Actions after Termination of Provision of my route)

After the termination of the provision of my route, the Company shall delete the User's Personal Information obtained in conjunction with my route. Any Information that does not fall into Personal Information may be continuously used for statistical materials, etc.

Article 21 (Interruption of Provision of my route)

1. If it is determined that any of the following apply, the Company may temporarily suspend the provision of my route (including the provision of Individual Services and linkage with an External Service).

(1) If regular or emergency maintenance of the system of my route is implemented;

(2) If my route cannot be provided due to fire, interruption of the power supply, war, riot, disturbance, labor disputes, etc.;

(3) If my route cannot be provided due to a natural disaster such as an earthquake, lightning, eruption, flood, or tsunami;

(4) If telecommunication service for my route is terminated or fails;

(5) If communication failure occurs due to the operating environment of my route Terminal Devices or other reasons; or

(6) If other events occur that require the Company to interrupt the provision of my route for operational or technical reasons.

2. The Company gives the User notice of interruption of my route or other notice to the User in a method that the Company deems appropriate unless the Company cannot give such notice due to an emergency or for unavoidable reasons.

Article 22 (Damages, etc.)

1. If a User caused damage to the Company or our Group Company by any act in violation of the TOU or the terms and conditions for an Individual or External Service or by any wrongful or illegal act, the User shall immediately compensate it for the damage that was caused.

2. If the User causes damages to a third party due to their use of my route, any Individual Service or External Service, the User shall settle such issue at their own risk and cost and cause no damage to the Company.

Article 23 (Non-guarantee of the Use of Services)

1. The Company does not guarantee the use of my route or Individual or External Services, or the usefulness or accuracy of the provision of those services.

2. The contents of various functions available to Users may vary depending on, for example, whether or not a my route Terminal Device is used, what kind of my route applications are installed, or whether or not the OS of the my route Terminal Device has been upgraded. The Company does not necessarily guarantee that all functions of my route are available to them.

3. The Company does not guarantee the completeness, usefulness, accuracy, immediacy, etc. of map information used in my route.

Article 24 (Non-guarantee of GPS Accuracy)

The location information used for my route is longitude and latitude information and information on the base station acquired by the GPS function equipped with a my route Terminal Device (or, for a my route Terminal Device with no GPS function, only information on the base station). Since the GPS function equipped with a my route Terminal Device uses satellite radio waves, it is sometimes difficult or impossible for the GPS to receive radio waves indoors, in areas where there are many tall buildings, near high-voltage power lines, or in densely wooded areas. In such cases, location will be measured only with information on the base station. Information on the base station may not be obtained accurately due to the installation status of the base station or the radio wave condition of the my route Terminal Device. In such cases, there may be a large gap between the location information and the actual location, or no location information may be obtained, and the Company does not warrant availability of location information of the User or its accuracy and shall not be liable for the same.

Article 25 (Indemnity)

1. The Company assumes no obligation or liability (including liability for damages) for any disadvantage or damage to a User as a result of the use of my route or an Individual or External Service (including due to suspension, change or termination of the provision of my route or an Individual Service or linkage between my route and an Individual or External Service pursuant to Article 4, 18, 19 or 21 of the TOU). However, if the agreement between the Company and a User regarding my route (including the TOU) constitutes a consumer agreement as provided in the Consumer Contract Act, this paragraph does not apply.

2. Notwithstanding the foregoing, the Company shall not be liable for any indirect damages or any loss of profits or revenue arising out of or in connection with the default due to negligence (excluding gross negligence) or tort of the Company or for damages caused in special circumstances, regardless whether they were foreseen or foreseeable by the Company or the User.

Article 26 (Governing Law and Agreed Jurisdiction)

The TOU are governed by the laws of Japan with respect to interpretation and dispute resolution. All legal disputes in connection with the TOU and my route shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the agreed competent court of the first instance.
